1. Services
Paloma AI, Inc. (“Paloma”) provides an AI-powered billing and revenue automation platform (“Services”) as described on our website or in your order. Access to the Services is granted on a subscription basis for the term selected at checkout.
2. Fees & Payment
Fees are payable in advance by credit card or other accepted payment method. If usage exceeds the included limits for your plan, additional charges may apply at the rates set out on our website. Late payments may result in suspension or termination of access.
3. Customer Responsibilities
You agree to:
Use the Services only in compliance with applicable laws and our published policies.
Maintain the security of your login credentials and any systems you connect.
Not reverse engineer, copy, modify, or create derivative works of the Services.
4. Confidentiality & Data
Each party will protect the other’s confidential information. You retain ownership of your data; Paloma retains ownership of the Services, software, and related IP. We may use aggregated or de-identified data to improve our services.
5. Warranties & Disclaimers
We will use reasonable efforts to keep the Services available and functional. The Services are otherwise provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by law, Paloma’s total liability for any claim arising under these terms will not exceed the amounts paid by you for the Services in the 12 months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, or consequential damages.
7. Term & Termination
Your subscription continues for the term selected and renews automatically unless cancelled in accordance with our cancellation policy. Either party may terminate for material breach with 30 days’ notice. Upon termination, all fees due remain payable.
8. Governing Law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
